Cadmus Communications Sells Dynamic Diagrams Subsidiary

Press release from the issuing company

RICHMOND, Va., Oct. 2 Cadmus Communications Corporation (Nasdaq: CDMS) ("Cadmus") today announced that it has sold certain assets of its Dynamic Diagrams subsidiary to Ingenta plc ("Ingenta"), a United Kingdom-based global research gateway serving the online information needs of research and reference publishers. Dynamic Diagrams provides data conversion, software and online content development services to corporations and professional and academic journal publishers through operations in Providence (Rhode Island), Baltimore (Maryland), and London. Under the terms of the transaction, Ingenta has acquired the assets of Dynamic Diagrams, for total consideration of approximately $5.5 million. For the 12 months ended June 30, 2000, Dynamic Diagrams had revenues of approximately $3.4 million. Bruce V. Thomas, Cadmus' president and chief executive officer, remarked, "This transaction will position Cadmus to capitalize more completely on the exciting changes taking place in the scientific, technical, medical ("STM") publishing market. Our customers are looking to transform the STM publishing process from the traditional issue-based, print-only system to an article- based, process delivering content both in print and on-line. They have responded enthusiastically to Rapid Review, our web-based peer review system, and are seeking additional elements of the integrated electronic publishing system we have under development. This sale reflects our strategic decision to concentrate our energies and resources on completing the development and full implementation of this system as quickly as possible." Thomas added, "Dynamic Diagrams has played an important role in helping our customers in the STM market start to take advantage of the important changes in electronic communications. We are confident that Ingenta will support and work to enhance the services that Dynamic Diagrams has provided to its many valued customers."
