Global Graphics Acquires Ansyr

Press release from the issuing company

Cambridge, UK; October 18, 2002 — Global Graphics S.A. (Nasdaq Europe: GLGR, Euronext: GLOG) announced today that its software subsidiary, Global Graphics Software Limited, has acquired the business and assets of Ansyr Technology, a pioneering Bellevue, Washington-based developer of document management workflow software for the mobile enterprise worker and Global Graphics’ development partner in bringing its Jaws PDF Editor product to market in June this year. The purchase strengthens Global Graphics technology for viewing, editing and annotating documents created in the Portable Document Format (PDF) on desktop and handheld devices and includes a combination of end-user products as well as a broad range of tools for Original Equipment Manufacturers. The move is further evidence of the Company’s desire to expand its range of document management technologies and to broaden its dedication to the development of PDF based tools. The purchase price for Ansyr’s business and assets is an initial nominal value to which will be added contingent payments over a 24-month period, based on sales of Global Graphics Jaws PDF Editor which is currently powered by Ansyr proprietary technology. The acquisition of Ansyr adds a talented group of individuals with broad PDF knowledge to the Global Graphics team, expanding its PDF development and marketing resource. The acquisition supports Global Graphics’ strategy to broaden its portfolio of PDF solutions which it makes available to Original Equipment Manufacturers and systems integrators to enable them to add flexible and efficient PDF capabilities to their own applications. The Company is also seeing demand from application software vendors, on-line print services and corporate in-house print departments. In Ansyr’s distribution model Global Graphics finds both a synergy and complementary routes to market. Ansyr – who were the first to market with a solution for viewing PDF files on Windows CE and Pocket PC devices - sells to mobile hardware OEMs, wireless systems integrators, network ASPs, and document management software companies. However, its technologies add breadth to Global Graphics PDF product range and are equally marketable to Global Graphics’ existing customer base. Jim Freidah, Global Graphics Software’s president and chief operating officer, comments "Ansyr Technology is an innovative software firm that has a extensive knowledge of PDF and has shown the ability to produce product quickly. This acquisition brings us the core technology behind their products and enables us to further penetrate the growing market for PDF." Kevin Omiliak, Ansyr’s President and now Global Graphics Software’s Vice President, PDF Business Development, says, "Ansyr Technology has developed compelling PDF based technologies and expertise over the last several years that will add nicely to Global’s growing product line. The resulting products and solutions position Global to be one of the premier providers of PDF technology and PDF-based business solutions worldwide." This acquisition is further evidence of Global Graphics asserting its three-pronged business strategy: to broaden its range of RIP, PDF, color and workflow solutions and make them available to its traditional high-end graphic arts OEMs; to gain further share in the market for digital copiers, desktop printers and multi-function peripherals where its RIP technologies are being integrated either by controller board manufacturers or by the manufacturer of the device; and the growing market for PDF solutions.
