Cummings Jr. to the Board, effective January 2, 2003. Mr. Cummings retired from Goldman Sachs at the end of 2001 after more than twenty-eight years with the firm. Mr. Cummings serves as a director of Axiohm Transaction Solutions, Inc., as a member of the WorldCom, Inc. creditors committee and as a senior advisor to GSC Partners. Mark A. Angelson and Alfred C.
