BCT International & Phoenix Group Terminate Merger Transaction

FORT LAUDERDALE, Fla.--April 26, 2002--BCT International announced today that the agreement and plan of merger dated as of November 26, 2001, among Phoenix Group of Florida, Phoenix Acquisition Corp. and William A. Wilkerson and the Company, which contemplated a purchase of all shares of the Company's common stock not already owned by the Acquisition Group at a price of $1.13 per share has been terminated by mutual consent of the parties. The Acquisition Group has withdrawn its offer to acquire the shares of the Company's common stock not owned by it and has informed the Company that it has decided not to pursue such an acquisition at this time.
