U.S. Antitrust Waiting Period Expires for Georgia-Pacific Tender Offer

WICHITA, Kan.---Dec. 2, 2005-- Koch Industries, Inc. today announced that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (HSR) with respect to the previously announced tender offer by Koch Industries' indirect wholly owned subsidiary, Koch Forest Products, Inc., for all outstanding shares of Georgia-Pacific Corporation at a price of $48.00 net per share in cash has expired. The expiration of the HSR waiting period satisfies the condition to the tender offer related to HSR approval. The tender offer remains subject to certain other conditions as described in the Offer to Purchase.
