Valassis Recognized For Its Corporate Governance

Press release from the issuing company

LIVONIA, Mich., June 18 -- Valassis, the leading company in marketing services and Connective Media(TM), announced today it received high marks for its corporate governance practices and policies from Institutional Shareholder Services (ISS), the world's leading provider of proxy voting and corporate governance data services. Valassis outperformed 97.7% of all companies in the S&P 400 index and scored in the top 1.5% in its industry according to ISS's Corporate Governance Quotient (CGQ) ratings. "It is the Valassis tradition to have a conservative approach to matters of finance and corporate governance," said Alan F. Schultz, Chairman, President and CEO. "We are very pleased to be recognized for holding our company to the highest standard of corporate governance." ISS's CGQ ratings are designed to assist institutional investors in evaluating the quality of corporate boards and the impact their governance practices may have on performance. CGQ ratings are based on a company's board of directors, audit, charter and bylaw provisions, takeover practices, executive and director compensation, qualitative factors, ownership, and director education. ISS evaluates 5,400 U.S. companies and 2,800 non-U.S. companies annually.
