Cenosis Withdraws Share Exchange Offer for Communicorp

March 5th, 2001, Montreal - Cenosis Inc. (MSE: CE) announces that subsequent to due diligence it has decided not to proceed with the transaction to acquire a majority stake in Communicorp Corporation under the terms announced on February 22, 2001.
