Cenveo Announces Commencement of Secured Notes Offering

STAMFORD, CT – Cenveo, Inc. today announced that its wholly-owned subsidiary, Cenveo Corporation, has commenced an offering of up to $790 million aggregate principal amount of secured notes (the “Notes”). The Notes will be comprised of $540 million in Senior Priority Secured Notes due 2019 and $250 million Junior Priority Secured Notes due 2022. Net proceeds from the Notes will be used to refinance Cenveo’s existing Term Loan Facility due 2018 and its 8 7/8% second lien notes due 2018, and to pay certain related costs and expenses.

The Notes have not been and will not be registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws, and unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
