Emtex Purchases OPserver, Inc.

BOSTON, MA., November 12, 2003 - Fidelity Capital announced today that it has sold OPserver, Inc., a leading developer of enterprise output management systems, to Emtex Software Inc., one of today's fastest growing document workflow and output management solution providers, with offices in the US and Europe. Terms of the sale were not disclosed. "OPserver is at a point in its growth where we believe this sale makes sense to ensure the next phase of its development and the continued evolution of enterprise output management solutions," said Jack Conrad, a managing director of Fidelity Capital, the Fidelity Investments business unit responsible for OPserver. "Having worked closely with Emtex for the past five years, we are confident that the complementary strengths of the Emtex products and the FlexServer technology will position the company for future success.". "This is a tremendous opportunity for Emtex," said Tim Moylan, President of Emtex Software, Inc. "Our acquisition of OPserver's FlexServer product line directly supports Emtex's corporate strategy to expand in all areas of enterprise output management software. OPserver's FlexServer is a proven, robust solution for managing end-to-end document production workflows, real-time tracking and accounting while Emtex's core technology, VIP and VDE, offers any to any printstream transformation, centralized printer management and document re-engineering. Integrating these two best in class product sets strengthens Emtex's position to offer an open, fully integrated solution that provides delivery of real business benefits and ROI to better serve our customers". Moving forward, OPserver's FlexServer enterprise software will be incorporated into Emtex's portfolio of solutions, which includes Emtex VIP and Emtex VDE. Although the solution will be integrated, FlexServer will continue to have its own dedicated development, support, and consulting teams. This will allow for the ongoing enhancement and support of the FlexServer product suite while ensuring a seamless transition for existing customers. Over the last decade, technical advances in document production automation, color and electronic output delivery have resulted in a complex document environment composed of disparate software components. The industry is in need of simplification through scalable, modular and fully integrated software solutions that minimize implementation effort and time while offering significant value for money.
