Canadian ownership returns to Eclipse Imaging with management buyout

Wednesday, April 14, 2010

Press release from the issuing company

Burlington, ON - Eclipse Colour and Imaging Corp. (Eclipse Imaging) has been purchased from its U.S. parent company Adams Outdoor Advertising, headquartered in Atlanta, GA by two of the company's senior managers, Ralph Misale and Grant Malcolm. The Burlington, Ontario-based wide format printing company specializes in out-of-home advertising, transit printing, and in-store retail signage. The deal, made official in February, restores Canadian ownership at Eclipse Imaging after 11 years as a subsidiary of the American outdoor media company.

Misale and Malcolm were appointed co-General Managers of Eclipse Imaging in September 2009. "We are excited about the opportunity to lead Eclipse, not only as general managers, but now as owner-operators," stated Misale, who has worked his way up the manufacturing and operations ranks since joining the company 14 years ago. "Feedback from staff, customers, and suppliers has been overwhelmingly positive and we are extremely optimistic about what the future holds," he added. Misale assumes the role of Chief Operating Officer.

Malcolm, the newly named Chief Financial Officer, has assumed responsibility for increasingly complex roles in finance and administration since he joined the company in 2002. "Adams Outdoor was a great parent company, and will continue to be a valued client of Eclipse," he explained, estimating that approximately 15 percent of Eclipse's annual revenue comes from print orders for the outdoor signs and billboards which Adams operates in the Midwest, Southeast, and Mid-Atlantic regions of the United States. "We are very confident about the future of outdoor advertising and the retail marketplace in North America," added Malcolm, "particularly as consumer and advertiser confidence continues to rebound after such a challenging economic recession."

According to Adams' President/CEO Kevin Gleason, "Eclipse will continue to receive the support of Adams Outdoor Advertising, and will continue to be our printer of choice company-wide."

Today Eclipse Imaging produces some of the continent's largest and highest-profile outdoor advertising for a host of outdoor media companies, ad agencies, and direct advertisers. In recent years, it has also expanded its production, finishing, and kitting capabilities to position itself as a leading producer of in-store graphics and signage for North America's largest retailers.
