PLM to acquire largest Canadian off-line inkjet imaging business

Jan. 20, 2003 - PLM Group today announced it has entered into a letter of intent to acquire the assets of Mailer Magic Inc., Canada's largest off-line inkjet imaging and finishing enterprise, in a cash and stock transaction. The closing of this transaction is expected to take place January 31, 2003, subject to, among other things, due diligence investigations by PLM, final approval from its Board of Directors and normal course regulatory approval. Founded in 1996, Mailer Magic is a profitable Toronto-based company that has a global reputation as an innovator in offline digital inkjet imaging, data management and personalization. These are key capabilities for many of today's largest and most successful financial services, automotive and pharmaceutical companies - PLM's core end-use customers. As a private company, Mailer Magic does not disclose financial results. Total consideration for the purchase will be approximately $2.8 million and will include the issuance of 761,918 PLM common shares from treasury at a price of $0.73 per share.
