Skinny and Zamage Sign Letter of Intent

December 2, 2002 -- Skinny Technologies Inc., is pleased to announce that it has signed a Letter of Intent with Vancouver based Zamage Digital Imaging Corp. Zamage has redefined the process of fine art digital print making and image processing. Skinny Technologies will act as Zamage’s prime contractor to develop an exclusive and custom engineered process that will enable Zamage to produce the best fine art prints at twice the speed of conventional systems. In addition, the engineered process will include Digital Asset Management, Image Processing and Workflows for franchises. At the GraphExpo show in Chicago October 2002 it was clearly shown that SkinnyPDF files were processed at 40 and 50 percent faster on large format inkjet systems. As well 60 out of 65 print professionals preferred the Skinny output prints to conventional PDF prints. Skinny can translate this into a competitive market advantage for Zamage. Using the same equipment as their competitors Zamage franchises will be able to process more images in less time and they will look better. We feel that this is another excellent vertical market and show case opportunity for Skinny Technologies Inc. and I look forward to very promising business relationship with Zamage. Says Daniel Walters President of Skinny Technologies Inc. Skinny will receive either a percentage of every unit sold, or negotiate a partnership agreement for equity position in Zamage. Acknowledging that a substantial percentage of the Zamage transactions will pass through Skinny Imaging Services, Zamage agrees to pay Skinny on a quarterly basis, up to 12% of the net pre-tax revenue net of sales tax, returns, shipping, etc. on all revenue received by Zamage on products or services ordered involving the use of Skinny’s technology. Skinny and Zamage in partnership agree to co-promote Skinny use within Zamage through the use of press release, newsletter, e-mail, and site advertising. Promotions will include but is not limited to Zamage member newsletters, e-mail promotions to Zamage member base, site advertisement promoting the photo enhancement capabilities provided by Skinny Technologies and joint press releases announcing the rollout and launch of the Skinny offering. Zamage will work with Skinny to promote the Skinny brand in all pages of the Zamage site that utilize the Skinny toolbar, in a manner consistent with Zamage’s brand strategy e.g. "Powered by Skinny". Zamage and Skinny will work together to incorporate Skinny branding on each product touched by Skinny - e.g. "Enhanced by Skinny".
