Danka Makes Announcement Regarding Sale of DSI to Pitney Bowes

ST. PETERSBURG, Fla. June 27, 2001--Danka Business Systems PLC today announced that it has adjourned the Extraordinary General Meeting to approve the sale of its facilities management division, Danka Services International ("DSI''). The meeting has been reconvened for 10:00 a.m., London time, Friday, June 29, 2001 at the offices of Square Mile 6 Middle Street, London EC1A 7PH. The Company has received proxies to vote on the resolution to approve the sale of DSI from shareholders holding approximately 31% of the shares entitled to vote on the resolution. Of these proxies,approximately 99.9% are in favor of the resolution and less than 0.1% are against the resolution. The quorum for the Extraordinary General Meeting is three shareholders present in person or by proxy and a majority of the shareholders who vote on the resolution is required to pass the resolution. In addition, it was announced today that the UK Secretary of State for Trade and Industry will not refer the acquisition of DSI by Pitney Bowes Inc. to the UK Competition Commission. This completes the review of the acquisition of DSI by the UK competition authorities.
